Business structure suggestions for App partnership

I'm in the early stages of forming a business partnership and would be curious if you have any suggestions for the business structure, and questions to ask, strategies to protect my interest, etc..

I've created a design for a new app, and will be partnering with a company that develops and sells apps. The company is providing half of the capital needed, programing skills, and I hope sales talent.

I've got to raise a little capital from my end, so I'm thinking I'll form an LLC or S corp to raise the capital. This business structure will own 50% of the app. The app company will own the other half. I'll control the majority interst in the LLC or S corp.
